QuickBooks Online Integration End User Agreement

1. Purpose

The Tasskel QuickBooks Online Integration allows you to securely connect your QuickBooks Online account with the Tasskel platform to automate the synchronization of accounting and business information. The integration is intended to reduce duplicate data entry, improve operational efficiency, and provide a seamless workflow between your business management platform and your accounting system.

2. Independent Relationship

QuickBooks Online is a product of Intuit Inc.

Tasskel.com is an independent software company and is not affiliated with, sponsored by, endorsed by, or operated by Intuit Inc.

Your use of QuickBooks Online remains governed by Intuit's Terms of Service, Privacy Policy, and all other applicable agreements.

3. Authorization

By connecting your QuickBooks Online account, you authorize Tasskel to communicate securely with QuickBooks Online using Intuit's approved authentication methods.

You authorize Tasskel to access, retrieve, create, update, or synchronize accounting information only as necessary to provide the features you choose to enable.

This authorization remains in effect until:

• You disconnect your QuickBooks Online account;
• Your Tasskel account is closed;
• You revoke authorization through Intuit; or
• The integration is discontinued.

4. Information That May Be Accessed

Depending upon your selected features and permissions, Tasskel may access or synchronize:

• Company information
• Customers
• Vendors
• Products and services
• Inventory
• Estimates
• Invoices
• Sales receipts
• Payments
• Credit memos
• Bills
• Purchase orders
• Expenses
• Chart of accounts
• Taxes
• Classes
• Locations
• Payment status
• Accounting preferences
• Related accounting records necessary to support the integration

Tasskel only requests the permissions required to perform the services you enable.

5. Data Synchronization

Synchronization may occur:

• Automatically
• On-demand
• On a scheduled basis
• Through user-initiated actions

You are responsible for reviewing synchronization settings and confirming that imported or exported information is accurate before relying upon it for accounting or business purposes.

6. Customer Responsibilities

You agree to:

• Maintain accurate accounting records.
• Review synchronized transactions.
• Verify imported and exported data.
• Maintain appropriate backups.
• Restrict access to authorized users.
• Protect your login credentials.
• Comply with all applicable accounting, tax, and financial reporting requirements.

You remain solely responsible for all accounting decisions and financial records maintained within your QuickBooks Online account.

7. No Professional Advice

Tasskel provides software only. Tasskel does not provide:

• Accounting services
• Tax advice
• Legal advice
• Financial planning
• Bookkeeping services
• Audit services

You should consult qualified professionals regarding financial, legal, or tax matters.

8. Accuracy of Data

While Tasskel is designed to provide reliable synchronization, we cannot guarantee that synchronization will always be uninterrupted, complete, or error-free.

Data accuracy may be affected by:

• User input
• Internet connectivity
• Third-party API limitations
• QuickBooks Online service interruptions
• Software updates
• System maintenance
• Changes made directly within QuickBooks Online

Customers are responsible for verifying all accounting records before relying upon them.

9. Third-Party Services

The QuickBooks Online Integration depends upon services operated by Intuit. Tasskel is not responsible for:

• API outages
• Authentication failures
• Scheduled maintenance
• Rate limits
• Changes to Intuit's APIs
• Service interruptions outside Tasskel's control

10. Security

Tasskel uses commercially reasonable administrative, technical, and organizational safeguards to protect customer information during transmission and storage. Although Tasskel employs industry-standard security practices, no electronic system can be guaranteed to be completely secure.

11. Ownership of Customer Data

You retain all ownership rights to your accounting data. Nothing within this Agreement transfers ownership of your financial records or business information to Tasskel. Tasskel stores and processes your information solely to provide the services you have requested.

12. Privacy

Customer information is processed in accordance with the Tasskel Privacy Policy. Tasskel will not sell your accounting information.

Access to customer information is limited to authorized systems and personnel as necessary to:

• Provide requested services
• Maintain platform security
• Troubleshoot technical issues
• Comply with applicable laws

13. Limited License

During your active subscription, Tasskel grants you a limited, non-exclusive, non-transferable, revocable license to use the QuickBooks Online Integration solely for your internal business operations.

14. Acceptable Use

You agree not to:

• Attempt unauthorized access to any third-party systems.
• Circumvent security controls.
• Abuse API rate limits.
• Upload malicious software.
• Reverse engineer the integration.
• Use the integration for unlawful purposes.
• Interfere with platform security or operation.

15. Suspension

Tasskel may temporarily suspend access to the integration if reasonably necessary to:

• Protect platform security
• Investigate suspected fraud
• Comply with legal obligations
• Respond to requests from Intuit
• Prevent abuse of the service

16. Termination

You may disconnect your QuickBooks Online account at any time.

Tasskel may suspend or discontinue the integration upon reasonable notice or immediately if required for legal, contractual, or security reasons.

Termination of the integration does not automatically remove historical records previously synchronized into Tasskel unless required by law or requested under applicable privacy rights.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Tasskel shall not be liable for:

• Lost profits
• Lost revenue
• Lost business opportunities
• Accounting errors
• Tax penalties
• Duplicate transactions
• Deleted records
• Data corruption
• Business interruption
• Indirect damages
• Consequential damages
• Incidental damages
• Special damages

Tasskel's total liability arising out of the QuickBooks Online Integration shall not exceed the fees paid by the Customer to Tasskel for the integration during the twelve (12) months preceding the event giving rise to the claim.

18. Indemnification

You agree to defend, indemnify, and hold harmless Tasskel, its owners, officers, employees, contractors, affiliates, licensors, successors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of the integration;
• Your violation of this Agreement;
• Your violation of applicable law;
• Unauthorized access to your account resulting from your failure to protect your credentials;
• Errors within your accounting records.

19. Intellectual Property

All software, documentation, interfaces, APIs, trademarks, logos, branding, and related intellectual property associated with Tasskel are and shall remain the exclusive property of Tasskel and its licensors. No ownership rights are transferred under this Agreement.

20. Modifications

Tasskel may update this Agreement from time to time. Continued use of the QuickBooks Online Integration after any updated Agreement becomes effective constitutes acceptance of the revised terms.

21. Governing Law

This Agreement shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any legal proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in North Carolina, unless otherwise required by applicable law.

22. Entire Agreement

This Agreement constitutes the complete agreement between you and Tasskel regarding the QuickBooks Online Integration and supersedes all prior discussions, communications, or agreements relating to this subject matter.

Acceptance

By clicking "Connect QuickBooks Online," "Authorize," "I Agree," or by enabling the QuickBooks Online Integration within Tasskel, you certify that:

• You have the legal authority to act on behalf of the business connecting the QuickBooks Online account.
• You have read and understand this Agreement.
• You authorize Tasskel to access your QuickBooks Online account as described herein.
• You agree to be legally bound by the terms of this Agreement.
